TERMS AND CONDITIONS OF SALE
1. SCOPE OF APPLICATION
1.1 These Terms and Conditions apply to all sales and deliveries of Processed Agro products by Muktaa Global Associates.
1.2 Any deviations or modifications are only valid if expressly agreed upon in writing by Muktaa Global.
2. PRODUCT SPECIFICATIONS AND QUALITY
2.1 The processed Agro products provided by Muktaa Global Associates shall conform to the agreed specifications, as detailed in accompanying documents such as purchase orders, quotations, or product descriptions.
2.2 Muktaa Global ensures that all products meet applicable Indian regulatory standards. Additional certifications, if required by the destination country, shall be specified in the Buyer’s order.
3. PRICING
3.1 All prices are quoted in [currency] and are based on the applicable Incoterms 2020.
3.2 Prices exclude taxes, import duties, or levies unless otherwise specified in the quotation.
3.3 Muktaa Global reserves the right to revise prices if market conditions, exchange rates, or regulatory changes significantly impact costs.
4. PAYMENT TERMS
4.1 Payment must be made via [method, e.g., Bank Transfer, Letter of Credit, etc.].
4.2 Payment milestones:
- 70% advance payment is required to confirm the order.
The balance 30% is payable upon presentation of shipping documents, including:
a) Commercial Invoice
b) Packing List
c) Bill of Lading or equivalent transport document
d) Certificate of Origin
e) Inspection Certificate (if applicable).
4.3 All payments must be made to Muktaa Global Associates designated bank account.
4.4 Any bank charges incurred outside India are the responsibility of the Buyer.
5. DELIVERY AND SHIPPING
5.1 Delivery shall be in accordance with the Incoterm specified in the purchase order or invoice (e.g., EXW, FOB, CIF, DDP).
5.2 Muktaa Global Associates will provide an estimated delivery schedule but is not liable for delays caused by third parties, customs clearance, or force majeure events.
5.3 Risk of loss or damage to the goods transfers as per the applicable Incoterm.
6. PACKAGING AND LABELING
6.1 All products will be packaged to ensure compliance with safety and hygiene standards. Packaging details will be provided in the relevant sales documentation.
6.2 Labels will include:
- Product Name
- Batch Number
- Manufacturing and Expiry Dates
- Net Weight
- Storage Instructions
- Country of Origin.
7. INSPECTION AND ACCEPTANCE
7.1 The Buyer has the right to inspect the goods at Muktaa Global Associates facility or through a third-party inspection agency before shipment.
7.2 Any claims regarding quantity or quality must be submitted in writing within 7 days of receipt of the goods.
7.3 Failure to notify Muktaa Global Associates within the specified timeframe constitutes acceptance of the goods.
8. THIRD-PARTY INVOLVEMENT
8.1 Muktaa Global Associates may engage third parties (e.g., logistics providers, inspection agencies) to facilitate the delivery of goods.
8.2 Any costs related to third-party inspections or certifications, unless agreed otherwise, shall be borne by the Buyer.
9. WARRANTIES AND LIABILITY
9.1 Muktaa Global Associates warrants that the products meet the agreed specifications at the time of delivery.
9.2 The Seller disclaims any implied warranties, including fitness for a particular purpose, unless explicitly agreed in writing.
9.3 Muktaa Global Associates liability is limited to the invoice value of the goods in question. Indirect or consequential damages are excluded.
10. FORCE MAJEURE
10.1 Muktaa Global Associates shall not be held liable for failure or delays in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, pandemics, government restrictions, or transport disruptions.
10.2 In case of a force majeure event lasting more than [X] days, either Buyer may cancel the order without liability.
11. TERMINATION
11.1 Muktaa Global Associates reserves the right to terminate any order if:
a) The Buyer fails to make payments as agreed.
b) The Buyer becomes insolvent or is otherwise unable to fulfill its obligations.
11.2 Upon termination, Muktaa Global Associates recover costs incurred for goods manufactured or shipped up to that point.
12. GOVERNING LAW AND JURISDICTION
12.1 These Terms and Conditions shall be governed by the laws of India.
12.2 Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in [Mumbai, India].
13. CONFIDENTIALITY
13.1 All commercial terms, pricing, and related information shared between Muktaa Global Associates and the Buyer shall remain confidential.
13.2 Disclosure to third parties is permitted only as necessary for fulfilling contractual obligations.
14. AMENDMENTS
14.1 Muktaa Global Associates reserves the right to update these Terms and Conditions at any time. Updated terms will apply to all future transactions unless otherwise agreed in writing.
15. MISCELLANEOUS
15.1 Severability: If any provision of these Terms is deemed invalid, the remaining provisions remain enforceable.
15.2 Entire Understanding: These Terms, along with the relevant sales documents, constitute the entire understanding between the Seller and Buyer.
Muktaa Global Associates reserves the right to decline orders or modify these terms as necessary to comply with Indian and international trade laws.
